TERMS AND CONDITIONS

Last Updated: October 1, 2026

1. Acceptance; Eligibility

By accessing or using the Services, you agree to these Terms and the Privacy Policy at [Privacy Policy URL]. If you do not agree, do not use the Services. You represent that you are at least 18 years old and in the United States, or authorized to act for a U.S. business.

2. Our Role; No Lending or Guarantees

Broad Reach Financial Services INC (the “Company”) is a fee-based funding advisor. The Company is not a lender, does not issue credit, and does not make credit or underwriting decisions. Third-party lenders or funding partners offer and approve loans.

You may be eligible to pre-qualify through a soft credit inquiry that generally does not affect your credit score. A lender or funding partner may require additional information and/or a separate credit inquiry.

3. Your Responsibilities; Acceptable Use

You will provide accurate, current information and use the Services only for lawful purposes. You will not misuse the Services (including fraud, impersonation, unauthorized submissions, scraping, malware, interference, or other harmful or illegal conduct).

4. Fees and Payment Terms

Fees are disclosed in the applicable written agreement(s) between you and the Company. Third-party lenders/funding partners may charge their own fees and costs, which are separate from Company fees and are governed by their documents. However, Broad Reach Financial Services Inc. includes some processing and closing fees in the success fee it charges.

The Company charges a success-based fee (the “Success Fee”) under a separate written Success Fee Agreement signed by you.

The Success Fee is earned when your loan or loans are funded, you sign lender documents, close, or draw down any funds.   The Company’s time, work, and resources used to package, submit, negotiate, and arrange funding opportunities are the consideration for the Success Fee.

The Success Fee Agreement will state the applicable fee amount or calculation method and when payment is due. Except as required by law or expressly stated in a signed agreement, fees are non-refundable.

5. No Legal/Tax/Financial Advice

The Services are educational and informational only and are not legal, tax, accounting, investment, or individualized financial advice. You are responsible for evaluating any offer and should consult your own professionals.

6. SMS Messaging Terms

If you opt in, you agree to receive SMS messages from the Company for service and account-related notices and, if separately consented, marketing. Consent is not a condition of purchase. Message frequency varies (estimated up to four messages per month). Message and data rates may apply. To opt out, reply STOP. For help, reply HELP. You may also contact the Company at +1-800-203-2176 or support@broadreachfinancial.com. Delivery is not guaranteed.

7. Intellectual Property

The website and Services content are owned by or licensed to the Company and protected by law. You receive a limited, revocable, non-transferable license for personal or internal business use. You may not copy, sell, modify, or exploit the content without written permission.

8. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. THE COMPANY DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE, OR ANY APPROVAL, OFFER, OR FUNDING.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE/DATA/GOODWILL. THE COMPANY’S TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) FEES YOU PAID THE COMPANY IN THE PRIOR 12 MONTHS OR (B) $100, EXCEPT WHERE NOT PERMITTED BY LAW.

10. Indemnification

You will defend, indemnify, and hold harmless the Company and its affiliates and personnel from claims arising out of your use of the Services, your information, your violation of law, or your breach of these Terms.

11. Dispute Resolution; Arbitration; Class-Action Waiver

The parties will try in good faith to resolve disputes before filing. Any unresolved dispute will be decided by binding individual arbitration administered by the AAA under applicable rules, unless the claim qualifies for small claims court. Class, collective, consolidated, and representative actions are waived to the fullest extent permitted by law.

12. Governing Law; Venue

Arizona law governs. Subject to arbitration, any court proceedings must be brought in state or federal courts located in Maricopa County, Arizona, and the parties consent to jurisdiction there.

13. Termination; Changes; Severability

The Company may modify, suspend, or discontinue the Services and may suspend/terminate access for suspected violations or risk. The Company may update these Terms by posting an updated version. If any provision is unenforceable, the rest remains in effect.
